Transformco

Transformco, officially known as Transform SR Brands LLC, is a privately held American company headquartered in Hoffman Estates, Illinois.

Established on February 11, 2019, Transformco emerged from the acquisition of assets from the bankrupt Sears Holdings Corporation.

The company is owned by ESL Investments and operates as the parent company of several well-known retail brands, including Sears, Kmart, and Kenmore.

As an integrated retailer, Transformco focuses on seamlessly connecting digital and physical shopping experiences to serve its members wherever, whenever, and however they choose to shop.

Central to this strategy is the Shop Your Way® platform, a social shopping program that offers members rewards for shopping at Sears, Kmart, and other retail partners.

Retail Operations

• Sears: A chain of department stores offering a wide range of home merchandise, apparel, and automotive products. As of December 2024, only eight full-line Sears department stores remain in operation.
• Kmart: A mass merchandising firm providing quality products to customers through exclusive brands. As of September 2024, the company maintains a small convenience store version of the brand in Miami, Florida, as well as full-line stores in Guam and the U.S. Virgin Islands.
• Kenmore: A brand of household appliances, cookware, floorcare, grills, HVAC equipment, and other home items.

Home Services

Transformco offers a comprehensive suite of home services through its subsidiary, Sears Home Services.

This division specializes in appliance repair, lawn and garden services, HVAC service, and other in-home services.

In July 2020, Transformco announced it was exploring the sale of its home improvement business following interest from potential suitors.

Real Estate Ventures

In recent years, Transformco has been transitioning from a traditional retailer to a real estate operating company.

The company has pursued opportunities to create value from its real estate portfolio by partnering with retailers, property owners, and communities.

Examples of these ventures include:

• In 2021, acquiring a vacant property previously leased for a Kmart on Long Island, improving it, and leasing to Aldi, At Home, and Floor & Decor.
• In 2022, partnering with Russo Development to build 530 rental units and 190 for-sale units on the site of a former Sears store in New Brunswick, New Jersey, with completion expected by 2027.
