Established on February 11, 2019, Transform Co emerged from the acquisition of certain assets of Sears Holdings Corporation, including 425 stores (223 Sears and 202 Kmart locations) for $5.2 billion.

Operating through its subsidiaries, Transform Co offers a diverse range of products and services across the United States. The company is home to Shop Your Way®, a social shopping platform that rewards members for shopping at Sears, Kmart, and other retail partners.

Transition to Real Estate

In recent years, Transform Co has been transitioning from a traditional retailer to a real estate operating company. The company has pursued opportunities to create value from its real estate portfolio and partnered with retailers, property owners, and communities to reinvent retail real estate.

Notable projects include acquiring a vacant property that was previously leased for a Kmart on Long Island. The company made improvements and leased the property to three separate tenants: Aldi, At Home, and Floor & Decor.

In addition, in 2022, Transform Co partnered with New Jersey-based developer Russo Development to build 530 rental units and 190 for-sale units on the site of a former Sears store in New Brunswick, New Jersey. Construction is expected to be completed by 2027.
