The organization is currently seeking a Corporate Governance Specialist to join its legal and governance team. This role is integral to ensuring effective corporate governance and regulatory compliance while providing essential support to the bank's Board of Directors. This position requires a highly organized and detail-oriented professional capable of managing multiple priorities within a dynamic hybrid work environment based in Boston. The Corporate Governance Specialist will coordinate and support board and committee meetings, manage the board portal, oversee attendance and expense tracking, and assist in regulatory submissions. This role also involves significant collaboration across teams to maintain operational excellence in governance practices. With an anticipated salary range between $80,500 and $132,250, this non-exempt position offers the potential for annual incentives and a comprehensive total rewards package. Job Requirements
- Demonstrated experience supporting corporate governance functions including board and committee meetings
- Proven ability to draft meeting materials and minutes with accuracy and confidentiality
- Strong organizational skills with ability to manage multiple priorities and deadlines
- Experience administering Diligent Boardbooks or comparable board portal
- Proficiency with Microsoft Office suite
- Excellent communication skills
- Ability to handle highly confidential information with discretion
- Preferred experience in regulated financial services environment
- Familiarity with data analytics tools such as Power BI and AI applications
- Knowledge of records retention and secure document management
- Ability to support regulatory and confidential submissions
Job Qualifications
- Degree in Business Administration, Communications, or related field or relevant work experience
- Minimum 5 years experience in corporate governance support, assistant corporate secretary, or similar role
- Experience supporting board and committee meeting coordination
- Ability to draft and prepare meeting minutes and materials accurately
- Strong organizational skills and multi-tasking ability
- Experienced with Diligent Boardbooks or similar board portal
- Proficiency in Microsoft Office applications including Outlook, Word, Excel, and PowerPoint
- Excellent written and verbal communication with professional presence
- Ability to handle confidential information with discretion and judgment
Job Duties
- Schedule, organize, and support board and committee meetings
- Manage board meeting materials, agendas, and minutes
- Oversee Diligent Board Portal management including user and content administration
- Prepare board fees, attendance tracking, and expense reimbursements
- Support key projects such as ethics program certifications and director elections
- Coordinate onboarding and orientation for new board directors
- Maintain confidential records in accordance with retention policies
- Collaborate with management and other departments for organizational alignment
- Perform other duties as assigned
