The role of M&A Attorney in AI Training offers a unique opportunity for experienced legal professionals to apply their specialized M&A knowledge to improve the accuracy and efficiency of artificial intelligence systems. In this position, candidates will be deeply involved in evaluating AI-generated legal work and supporting the training process for AI regarding M&A agreements and transactional law. As the contract lawyer, you will conduct simulated M&A contract negotiations and perform redlining to mimic real-world scenarios, which plays a vital role in teaching AI to handle complex contract negotiations. You will also review AI-generated contract analyses and responses, providing detailed feedback to enhance the AI's comprehension and accuracy.

Beyond document review, the role demands the creation of objective evaluation frameworks and grading rubrics. These tools are integral to assessing AI performance and ensuring that AI systems improve continuously in their reasoning, drafting, and legal analysis capabilities. Analyzing transaction documents to identify potential legal risks, ambiguities, and drafting inconsistencies will help shape AI’s understanding of crucial contract details. Job Requirements

  • J.D. from an ABA-accredited law school
  • Active bar admission in at least one U.S. jurisdiction
  • Minimum of 2 years of experience in the M&A department of a corporate law firm
  • Strong familiarity with standard M&A transaction documents including asset purchase agreements (APAs) and stock purchase agreements (SPAs)
  • Exceptional written and verbal communication skills
  • Strong analytical abilities
  • Experience collaborating with multidisciplinary teams in fast-paced environments

Job Qualifications

  • J.D. from an ABA-accredited law school
  • Active bar admission in at least one U.S. jurisdiction
  • Minimum of 2 years of experience in the M&A department of a corporate law firm
  • Strong familiarity with standard M&A transaction documents, including Asset Purchase Agreements (APAs) and Stock Purchase Agreements (SPAs)
  • Exceptional written and verbal communication skills with meticulous attention to detail
  • Strong analytical abilities and the ability to translate complex legal concepts into structured feedback
  • Experience collaborating with multidisciplinary teams in fast-paced environments
  • Prior exposure to AI, legal technology, or AI training initiatives is a plus
  • Experience advising private equity firms or supporting private equity transactions is highly preferred

Job Duties

  • Perform simulated M&A contract negotiations and redlining exercises involving real-world transaction scenarios
  • Review and evaluate AI-generated responses to contract drafting, negotiation, and legal analysis tasks
  • Create objective evaluation frameworks and grading rubrics for assessing AI performance on M&A-related legal work
  • Analyze transaction documents, identifying legal risks, ambiguities, and drafting issues
  • Provide detailed legal feedback to improve AI reasoning, contract interpretation, and drafting quality
  • Collaborate with legal, product, and research teams to refine AI training datasets, guidelines, and evaluation methodologies
