The available role is a permanent, hybrid working legal position based in New York with a competitive salary range of USD 175,000 to USD 210,000 annually. This position offers significant remote working flexibility. The ideal candidate will bring substantial experience in handling complex legal matters related to real estate investment funds, federal tax law, securities, and partnership agreements with an emphasis on affordable housing and fund formation. Responsibilities include drafting, reviewing, and negotiating fund agreements and investment documents, coordinating fund closings, managing external legal counsel, and supporting various departments including Investor Relations, Asset Management, and Project Management. The role also involves managing regulatory compliance matters, particularly in relation to the U.S. Department of Housing and Urban Development (HUD).

Job Requirements

A law degree from an accredited law school
Membership in at least one state bar
Minimum of seven to ten years of relevant legal experience in investment funds and related areas
Experience with commercial real estate development and financing
Strong drafting and research skills

A minimum of seven to ten years in a sophisticated law firm or corporate legal department environment involving investment funds, federal tax law, securities, limited partnership law, and limited liability company law
Experience with commercial real estate development and financing, preferably involving affordable housing and federal low-income housing tax credits
Familiarity with government programs related to affordable housing and community development a plus but not required
Effective drafting and research skills
Ability to integrate legal requirements into business practices
Excellent communication and interpersonal skills
Ability to interact effectively with all levels of management and staff

Job Duties

Handle legal aspects of transactional matters involving proprietary and multi-investor investment funds and project partnerships, including drafting, reviewing, and negotiating fund agreements, investor side letters, and related closing documentation
Coordinate fund closings in collaboration with the Investor Relations Department, ensuring timely completion of closing requirements
Oversee outside counsel engaged in fund formation, closing, and related transactional activities
Supervise paralegal preparation of certificates, closing deliverables, and other ancillary fund documentation
Draft and review post-closing investment approval materials and coordinate the transfer of project investments from warehouse credit facilities to investment funds
Conduct due diligence and negotiate legal documentation related to fund-level financing transactions, including bridge loans and warehouse lines of credit
Manage investor transfer requests, including diligence review, negotiation of transfer documentation, and guidance to the Investor Relations Department
Advise the New Business Initiatives Department on fund formation and strategic initiatives, including structural, tax, and regulatory considerations
Support Asset Management and Project Management teams by interpreting fund agreements and investor side letters to evaluate consent requirements related to project dispositions, ownership transfers, property manager changes, waiver requests, and other fund-level matters
Administer Know Your Customer (KYC) compliance requirements and investor verification processes
Manage matters involving the U.S. Department of Housing and Urban Development (HUD), including regulatory compliance, approvals, and related reporting obligations
