Janus Henderson is currently seeking a Legal Counsel to join its Legal and Corporate Secretary Division. This is a hybrid role based in Denver, offering an estimated base salary between $150,000 and $160,000 annually, supplemented by eligibility for an annual discretionary bonus based on the company’s profit pool and individual performance. The Legal Counsel will provide essential day-to-day legal support to business partners across a diverse array of business areas. Responsibilities include the review and support of fund prospectuses, statements of additional information, and supplements related to Janus Henderson’s mutual funds and ETFs. The role requires drafting new disclosure materials, coordinating with outside counsel on registration statements, and preparing materials such as minutes for meetings of the Boards of Trustees. The incumbent will also assist with the annual 15(c) process, regulatory and business change initiatives, and advising on contractual agreements pertaining to mutual funds and ETFs. A key aspect of the position is fostering a culture of compliance within the firm.
This is a position for a legal professional with at least two years of relevant experience in a law firm or financial services company. Candidates will demonstrate strong knowledge of the Investment Company Act of 1940, excellent analytical and communication skills, an ability to manage multiple priorities efficiently, and membership in at least one state bar. Job Duties
- Provide day-to-day legal support for business partners across a broad range of business areas with escalation as needed
- Review and support the preparation of fund prospectuses, statements of additional information, and supplements for mutual funds and ETFs
- Draft new disclosure materials and collaborate with outside counsel on registration statement matters
- Prepare and review minutes and attend meetings of Boards of Trustees for mutual funds and ETFs
- Assist with the annual 15(c) process for mutual funds and ETFs
- Support regulatory and business change initiatives
- Advise and draft agreements related to mutual funds and ETFs
- Maintain and foster a strong culture of compliance
- Carry out other duties as assigned
