We are currently seeking a Manager to join our growing Transaction Services Tax team. This role is designed for professionals ready to contribute their skills in tax advisory to complex financial transactions, working closely with clients that include privately held and publicly traded companies, private equity funds, mezzanine funds, banks, and business development companies. This opportunity is open to candidates in any of our offices, providing flexibility in work location.

In this managerial position, you will be responsible for the development and implementation of transaction advisory services tailored to meet the intricate financial needs of our diverse client base. You will engage directly with senior partners and clients, modeling financial transactions, preparing detailed analytical reports and presentations, and providing insight into tax aspects of mergers and acquisitions. The role requires you to advise on tax risks, opportunities, and alternative strategies for acquisitions, dispositions, and business restructuring, all integral to client success in dynamic market conditions.

Your expertise will be crucial in reviewing tax computations incorporated into client financial models and supporting clients through thorough quantitative and qualitative tax data analysis. This position also offers exposure to all stages of transaction due diligence and structuring, including buy-side and sell-side transactions.

Job Requirements

  • Bachelor's degree in finance, accounting or related field
  • Minimum 5 years work experience in professional services
  • Certified public accountant CPA or JD/LLM designation
  • Experience in tax due diligence and transaction consulting
  • Strong analytical and communication skills
  • Proficient with Microsoft Office suite
  • Ability to work independently and in teams

Job Qualifications

  • Bachelor's degree in finance, accounting or related field
  • Graduate degree with 4 years related work experience
  • 5+ years of work experience in a mid to large sized professional services firm
  • Certified public accountant (CPA) or JD/LLM
  • Experience in tax due diligence, deal structuring, and post-acquisition planning
  • Experience in inbound and outbound transaction consulting with international tax research, planning and compliance
  • Demonstrated analytical, problem-solving, organization, interpersonal, project management and communication skills
  • Highly developed Microsoft Suite skills
  • Strong written communication skills
  • Ability to provide exceptional client service

Job Duties

  • Interact directly with partners on matters related to client and engagement management
  • Model financial transactions to be used in valuation, structuring and negotiation
  • Prepare detailed memoranda and presentations describing the key attributes of client companies and industries
  • Assist in the review and analysis of the tax aspects of acquisition and merger agreements and draft tax opinion letters and memoranda
  • Identify and analyze tax risks and opportunities while advising on alternative tax strategies for acquisition, disposition and restructuring of businesses
  • Review, assess and advise clients regarding tax computations reflected in their financial models
  • assist clients in the quantitative and qualitative analysis of the tax data in their financial projections for the transaction
  • Data gathering, document review and preparation of reports
  • Research and financial analysis of target companies
  • Due diligence for both buy side and sell side transactions
  • Transaction structuring for tax and accounting issues
  • Negotiation support
  • Communication with business owners to ensure delivery of exceptional client service
